GAIL’s business development initiatives are focused on Globalisation, Mergers and Acquisitions, Diversification and Joint Ventures.

Globalisation

GAIL is globalizing its business activities with the objective of exploring growth opportunities and entering new markets with major thrust on:

GAIL began its globalisation process in 1999 with its entry into the fast growing natural gas market in Egypt. The company has vast expertise in City Gas Distribution and CNG for vehicles through its joint venture concerns in Delhi and Mumbai. To capitalise on these competences and to utilise the untapped business potential, GAIL has made strategic investments in two companies in Egypt: Fayum Gas Company S.A.E. involved in local gas distribution and Shell CNG S.A.E. involved in retailing CNG.

Fayum Gas Company S.A.E. (FGC):

FGC was incorporated in 2000 for designing, financing, constructing, operating and maintaining a gas transmission and distribution network in the Governorate of Fayum on behalf of the Egyptian General Petroleum Company (EGPC) - national oil and gas company in Egypt / its successor Egyptian Natural Gas Holding Company (EGAS).

FGC signed a concession agreement with EGPC / EGAS valid for a period of 20 years. As per the concession agreement, FGC has to connect 25,000 domestic / commercial customers and three industrial customers in Phase 1 (2001-03) and 58,000 domestic / commercial customers and four industrial customers in Phase-2 (2004-06). Outside the concession agreement, FGC entered into agreement with a major industrial user - Emisal. An additional 9,000 residential customers (Aboxa) are also being connected by FGC outside Phase I & II concession.

Shell CNGE S.A.E. (SCNGE):

SCNGE was incorporated in 2002 for setting up of CNG fuel stations to sell CNG as auto fuel and for setting up CNG conversion centers. SCNGE has planned to build 30 CNG fuelling stations and nine conversion centers by 2007. Currently, around 35,000 taxis are running on CNG of the total taxi population of around 300,000 in Egypt (of which around 110,000 are in Greater Cairo). Hence there is a large potential market for CNG in Egypt.

GAIL will be acquiring 19 per cent equity in FGC and 22 per cent equity in SCNGE. Today as a result of these initiatives GAIL is poised to become a Multinational Corporation. Another major equity participation opportunity is being evaluated in Egypt. GAIL intends to continue its expansion with its business leads being pursued across continents. Some of the regions attracting attention are:

iv. Africa (Egypt, Tanzania, Mozambique)

Projects And Plans of GAIL (India) Limited

GAIL has conceptualised the following Pipeline Projects, most of which will form part of the National Gas Grid:

1. Dahej-Vijaipur (DVPL)

The DVPL pipeline will lift gas from R-LNG terminal at Dahej to Vijaipur. Its first section Dahej-Vemar is 82.5 km. The second section 527.5-km Vemar-Vijaipur will run parallel to the existing HVJ pipeline. This pipeline, which total section is 42″ in diameter and 610 km with 30-MMSCMD capacity, is likely to be completed by April 2004.

2. HVJ Expansion Phase-III

The 920-km HVJ Expansion Phase-III project extends to Punjab, Haryana, Rajasthan and Uttar Pradesh. This pipeline system with three new compressor stations and 12 terminals is proposed for countrywide transportation and distribution of R-LNG to the existing and future consumers.

The pipeline will be extended from Dadri to Sonipat, Panipat, Sangrur, Doraha (Ludhiana) to Nangal and Bhatinda in Punjab and Haryana sectors. The pipeline will also be extended from Vijaipur to Kota to Mathania and from Ibrahimpur to Dhaulpur in the Rajasthan sector and the HVJ Auraiya-Jagdishpur line will be extended to IFFCO Phulpur in the Uttar Pradesh sector.

3. Dahej - Hazira-Uran - Dabhol

The 1166-km Dahej-Hazira-Uran-Dabhol pipeline has a capacity of 24 MMSCMD, 12 MMSCMD from Dahej and 12 MMSCMD from Dabhol. The trunk pipeline route passes from Dahej to Hazira to Gavlpada to Bhoirpada to Chindhran to Panvel to Dahivli to Ambewadi to Dabhol. In addition, there are lines from Gavlpada to Nasik, Chindhran to Trombay, Sanpada & Thana, Panvel to Uran, Dahivili to Pune, Ambewadi to Usar and Dabhol to Kolhapur. The Hazira-Uran section will be implemented in Phase-I.

4. Dabhol-Bangalore-Chennai

The Dabhol-Bangalore-Chennai project consists of 850-km Dabhol-Bangalore pipeline and around 300-km Bangalore-Chennai pipeline. The trunk pipeline passes from Dabhol through Kinjalkarvadi, Kasari river bank, Kharaklat, Tappalkatti Harva forest, Gadag, Gannaikanahalli, Gullur, Sarajapur, Palmaner, Chittoor, Kattivakkam to Chennai. The capacity of this pipeline is 10 MMSCMD from Dahej.

5. Kakinada-Hyderabad-Pune-Panvel

The 1035-km Kakinada-Hyderabad-Pune-Panvel pipeline passes from Kakinada, Peddapuram, Samalkot, Rajahmundry, Khammam, Hyderabad, Barsi, Pune, Lonavala, Khandala and Panvel. The pipeline capacity is around 20 MMSCMD from Peddapuram.

Exploration And Production of GAIL (India) Limited

GAIL holds Participation Interest in 12 exploration blocks, including two NELP-I blocks, six NELP-II blocks, two NELP-IV blocks and two ‘Farm-in Blocks. The blocks spans from onland to deep offshore in West Coast and East Coast of India. The company has also acquired interest in the Cauvery offshore with Hardy Oil and one in Myanmar offshore with Daewoo.

Offshore : 8 Blocks (2 Farm-in)

Consortium partners with GAIL in above blocks are ONGCL, GSPCL, Gazprom, OIL, IOCL, Hardy Exploration & Production, Enpro Finance Private Ltd. and Daewoo Intl. GAIL has developed state-of-the-art interpretation work station for undertaking various interpretations of geo-scientific data.

NELP - I

Power of GAIL (India) Limited

Gujarat State Energy Generation Ltd was incorporated on December 13, 1998, with Gujarat State Petroleum Corporation Ltd (GSPCL) as the main promoter, to set up a Natural Gas-based power project at Hazira. The project was planned with a generation capacity of 156 MW by utilising natural gas from Hazira gas fields jointly owned by GSPCL and NIKO Resources, Canada, at an estimated cost of Rs. 576 crore with a 70:30 Debt to Equity ratio within 21 months from June 1, 2000.

Fuel Supply Agreement with GSPCL / NIKO and Fuel Transportation Agreement with Gujarat State Petronet Ltd were entered into to securitize fuel supply. An arrangement is in place to sell power to the Gujarat Electricity Board through a Power Purchase Agreement signed on February 28, 2000, for 20 years

The Combined Cycle Power Plant comprises of two Gas Turbines (52 MW each), one Steam Turbine (52 MW) and 2 Heat Recovery Steam Generators.

GAIL accepted an equity offer of 12 % in March 2001 following due diligence exercise.

Commercial production was declared with the commissioning of the Gas Turbines in open cycle mode in December 2001. Subsequent to successful completion of performance tests, Combined Cycle operation commenced from June 2002.

GSEG posted a net profit of Rs. 2.9 crore after provisioning for tax in 2001-02 from plant operation in the period December 2001 to March 2002. The income from sale of electricity was Rs 78.09 crores during the period.

In the year 2002-03, GSEG generated 1,048,846 MWh of power maintaining an overall Plant Load Factor at 81.19%. The profit after tax was Rs 5.86 Crores on an income of Rs 320.30 Crores from sale of electricity.

The plant is running smoothly with high Availability and Plant Load Factor.
